Terms and Conditions of Sale

1.   Orders: The terms and conditions of sale on this invoice constitute the contract between Kim Laboratories, Inc., and Buyers. Orders submitted on Buyer's purchase order or other documents which contain terms or conditions modifying, adding to, or inconsistent with these terms or conditions are acceptable to Kim Laboratories only upon the condition that Kim Laboratories’ terms and conditions of sale shall be the sole terms and conditions.

2.  Delivery, claims, and delays: Shipping dates are approximate. Kim Laboratories shall not be liable for any claim, loss of damage caused, in whole or in part, due to delay in or failure to make delivery when such delay or failure is directly or indirectly cause d by fire, flood, act of God, strike or other labor difficulty, transportation problems inability or delay in obtaining necessary labor, materials, or products from usual sources, materials shortages, accident, act of any civil or military authority, war, hostilities, act of any governmental authority or the Buyer, or by the occurrence of any other contingency beyond Kim Laboratories' reasonable control. Delivery fee shall be paid by the Buyer.

3.  Payment: Terms of sale are net 30 days of date of invoice, unless otherwise stated. Full payment is honored.

4.  Returns: Goods may not be returned for credit except with Seller's Permission, and then only in strict compliance with Seller's return shipment instructions. Written authorization must be obtained prior to returning any product to Kim Laboratories. Products are subject to a 25% restocking charge.

5.  Warranties: Seller warrants that its products shall conform to the description of such products as provided to Buyer by Seller through seller's catalog, analytical data or other literature. This warranty is exclusive and seller makes no other warranty, express or implied, including any implied warranty of merchantability or fitness for any particular purpose. Seller shall not in any event be liable for incidental, consequential or special damages of any kind resulting from any use or failure of the products, even if seller has been advised of the possibility of such damage including, without limitation, liability for loss of use, and loss of work in progress.

6.  Terms: Unless otherwise specified, terms are net 30 from date of invoice, F.O.B. shipping point (F.O.B. origin). All prices are subject to change without notice.

7.  Taxes: The prices stated are subject to any additions necessary to cover Federal, State, and Municipal or other sales or use taxes or any other taxes upon the products or services described herein, all of which shall be paid by the Buyer.

8.  Claims: Any claims concerning damage or loss in transit shall be placed through the carrier by the Buyer.

9.  Miscellaneous: This agreement shall be governed by, construed under and interpreted in accordance with the laws of the state of Illinois. In the event that any provision contained herein shall be determined to be unenforceable, all other provisions shall remain in full force and effect and the affected provision shall be construed so as to be enforceable to the maximum extent permissible by applicable law

10.  In regards to antibodies and immunological reagents sold by AbAffinity, we cannot guarantee the cost of an antibody or immunological reagent until the order placed. Despite thorough screening of our catalog, there is a possibility that a few of the antibodies or immunological reagents listed in our catalog may be mispriced. If an item's correct price is higher than the price listed on our website, we will, at our discretion, either contact you before shipping or cancel the order and notify you of the cancellation.
